  1. TOTALRC.NET CORPORATION LICENSE AGREEMENT
  2.  
  3. THIS AGREEMENT CONSTITUTES A LEGAL AGREEMENT BETWEEN YOU,
  4. THE END USER AND TOTALRC.NET CORP. ("TOTALRC.NET"). YOU SHOULD
  5. CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE 
  6. INSTALLING THE SOFTWARE. INSTALLING THE SOFTWARE INDICATES YOUR
  7. ACCEPTANCE OF THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO
  8. THEM, PROMPTLY DELETE THE SOFTWARE FROM YOUR COMPUTER.

  10. As used herein, the term "Licensee" shall refer to the person or entity
  11. which has received this License from the Licensor. "Licensor" shall
  12. refer to, jointly and severally, TOTALRC.NET and/or any person or entity
  13. who has been duly and properly authorized by TOTALRC.NET to act as a
  14. Licensor. By running this Software, you are consenting to be bound by
  15. and are a party to this Agreement.

  17. 1. Grant of license. 
  18. TOTALRC.NET grants you a non-exclusive License to  use the enclosed
  19. socks2http program, a SOCKS to HTTP conversion agent, free of charge,
  20. for the duration of evaluation period.

  22. 2. Termination. 
  23. The License is effective until terminated. The License
  24. will terminate automatically without notice from TOTALRC.NET if you fail
  25. to comply with any provisions of the License. You may voluntarily
  26. terminate it at any time. Upon termination, you agree to destroy or
  27. purge all copies of the Software and accompanying written materials.

  29. 3. LIMITATION OF LIABILITY. 
  30. IN NO EVENT WILL TOTALRC.NET OR ITS VENDORS BE LIABLE FOR ANY
  31. DIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING WITHOUT
  32. LIMITATION, DAMAGES FOR LOSS OF GOODWILL, PROFIT, INFORMATION,
  33. WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION OR ANY AND ALL
  34. OTHER DAMAGES OR LOSSES), EVEN IF TOTALRC.NET HAS BEEN ADVISED
  35. OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW 
  36. THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR
  37. INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY
  38. NOT APPLY TO YOU.

  40. 4. Governing Law. 
  41. This Agreement is governed by the laws of the State of New York.
  42.  
  43. 5. Government Restricted Rights. 
  44. The Software and documentation is provided with RESTRICTED RIGHTS. Use,
  45. duplication or disclosure by the Government is subject to restrictions
  46. as set forth in subdivision (b) (3) (ii) of The Rights in Technical Data
  47. and Computer Software clause at 252.227-7013. Contractor/manufacturer is
  48. TOTALRC.NET Corporation, 342 East Jericho Turnpike #228, Mineola, New
  49. York 11501.

  51. 6. Disclaimer of Warranty.
  52. The Software is provided on an AS IS basis, without warranty of any
  53. kind, including, without limitation, the warranties that the Software is
  54. merchantable, fit for a particular purpose or non-infringing. The entire
  55. risk as to the quality and performance of the software is borne by you,
  56. the Licensee. Should the Software prove defective in any respect,
  57. Licensee and not TOTALRC.NET nor any of their Distributors or Resellers,
  58. shall assume entire cost of any service and repair. In addition, the
  59. security mechanisms implemented by the Software have inherent
  60. limitations and you must determine that the Software sufficiently meets
  61. your requirements. This Disclaimer of Warranty constitutes an essential
  62. part of the License Agreement. No use of the Software is authorized
  63. hereunder except under this Disclaimer.

  65. High Risk Activities: The Software is not fault-tolerant and is not
  66. designed, manufactured or intended for use or resale as on-line control
  67. equipment in hazardous environments requiring fail-safe performance,
  68. such as in the operation of nuclear facilities, aircraft navigation or
  69. communication systems, air traffic control, direct life support machines
  70. or weapon systems in which the failure of the Software could lead
  71. directly to death, personal injury or severe physical or environmental
  72. damage. Accordingly, Licensor and its suppliers specifically disclaim
  73. any express or implied warranty of fitness for High Risk Activities.

  76. 7. Title, ownership, intellectual property.
  77. Title, ownership rights and intellectual property rights in the Software
  78. shall remain with TOTALRC.NET. The Software is protected by copyright
  79. and other intellectual property laws and by international treaties.
  80. Title and related rights in the content accessed through the Software is
  81. the property of the applicable content owner and is protected by
  82. applicable law. The License granted under this Agreement gives the
  83. Licensee no rights to such content. Licensee may not: Modify, translate,
  84. reverse engineer, decompile, disassemble, or create derivative works
  85. based on the Software, Remove any proprietary notices or labels on the
  86. software.

  88. 8. Other Terms and conditions of using Socks2HTTP agent software.
  89. There are inherent dangers in the use of any software available for
  90. downloading from the Internet and you are cautioned to make sure that
  91. you completely understand the potential risks before downloading any
  92. software. You are solely responsible for adequate protection and backup
  93. of the data and equipment used in connection with this software.

  95. This Agreement represents the complete agreement concerning the License
  96. granted hereunder and may be amended only in writing executed by both
  97. parties.
